REGISTRATION PROCEDURES FOR SCIENTIFIC AND TECHNICAL OFFICES OF FOREIGN COMPANIES

Scientific and Technical Offices of Foreign Companies
Foreign companies may open offices in the Kingdom to provide technical and scientific services to their agents, distributors of their products and consumers of these products after finalizing the procedures of entry in the Commercial Registration as follows:

a.The documents required for opening of scientific and technical offices (pharmaceutical companies).
◦Copy of the company articles of association in its original country and a copy of its commercial registration.
◦Copy of the decision of stakeholders to open the office, the city, number of employees in the office and the designation of the Office Manager who should be a pharmacist.
◦Initial approval from the Ministry of Health.
◦Copies of licenses of the office pharmacists issued from the Ministry of Health.
◦Copy of the commercial agency of the company?s agent and its commercial registration indicating Agency registration.
b.The documents required for the opening of scientific and technical offices of foreign companies that have a product used in the Kingdom together with a recommendation of the company agent to open the office.
Procedures for Office Registration:
a.The company agent shall submit an application to the General Directorate of Companies to open scientific and technical office for the principal company enclosing the required documents referred to in one of the two above items.
b.After considering the application by General Directorate of Companies and after receiving approval from the Minister of Commerce on the opening of the office the company shall be issued a license. Then the Directorate of Companies shall write to the commercial registration to finalize registration procedures by filling out Form 1.3 and sign it before the concerned official and pay the outstanding fees for the company. The following documents shall be attached:
◦Copy of the passport, residence card and labor card of the manager.
◦Copy of the lease contract of the company's premises.
◦Submit all of these documents in a hanger file.
After this is done the company shall be registered in the commercial register. The certificate of registration shall be handed over to the manager of the company.

Procedures for Registration of Trade Name
a.Fill out the form regarding the trade name.
b.Submit the application to computer officer at the Registration Office.
c.Letter of referral to Um Al Qura newspaper for the announcement.
d.Retain trade name after meeting the conditions.
