PROCEDURE TO ESTABLISH A MIXED PROFESSIONAL FIRM

Mixed Professional Firms:
Mixed professional firms entered between licensed Saudi professionals and foreign professional specialized firms shall be licensed according to the following:

•Applying for establishment of mixed firm (Form 1.17) containing:
1.The company's name and purpose.
2.Names of Saudi partners, and their professions, licenses and dates.
3.Names of foreign partners, nationality, license number, date and nature of the address outside of the Kingdom of Saudi Arabia, who represents them in the Kingdom, nationality, passport number, date, and place of issuance.
4.Company offices and names of the company's managers, accompanied by the following documents:

Copy of company contract (Form 1.15) approved by all partners.

Certificate from the competent professional bodies in the country of the foreign company abroad indicating that the company has a good reputation in the field of the profession and that they practiced the profession for a period of not less than ten years without interruption, duly certified and translated.

Entry certificate of the foreign company issued by the competent foreign authorities of the country of origin indicating number and date of license, duly translated.

Decision of a concerned company office appointment and designation of a permanent representative in the Kingdom, approval on association, duly certified and translated.

Undertaking by the foreign company to participate in the transfer of technical expertise and professional training of the Saudis, duly certified and translated.

Copy of articles of association of the foreign company abroad, duly certified and translated as the case may be.

•After consideration by the Directorate of Companies a decision is taken by His Excellency the Minister of Commerce in approving the license of the company. After the decision, the concerned parties shall be referred to the notary public to inscribe the contract in his records, then a summarized version shall be published in a daily newspaper which distributes in the area of main office for the company.
•Approaching again the Directorate of Companies to apply for entry in the register of professional firms (Form 1.18) and accompanied with the following documents:
1.Copy of the company?s notarized contract.
2.Copy of the daily newspaper in which a summary of the contract was published.
3.Copy of the receipt indicating the payment of registration fees in the amount of 4000 Saudi Riyals for five years.
4.A decision of the partners to appoint and designate manager(s) of the company if not included in the contract.
5.A rental company's headquarters or title headquarters.
6.Copy of the ID of the Manager / managers showing profession.
7.Copy of the licenses obtained by partners to practice profession.
•The company shall be entered in the respective register at Directorate of companies and a certificate issued and delivered to the concerned.
